TERMS & CONDITIONS
1.1 These conditions of sale (“Conditions”) apply to all contracts for the supply of goods (“Goods”) by A1 Print & Stitch Limited (Company No: 07993627), Units 10–11 Durham Way, Heathpark Industrial Estate, Honiton, Devon, EX14 1SQ (“Company”) to the person or organisation purchasing the Goods (“Customer”).
1.2 These Conditions apply to all Contracts (whether the Customer is acting as a consumer or in the course of business) to the exclusion of any other terms the Customer seeks to impose or incorporate.
1.3 A Contract shall only come into existence when the Company confirms acceptance of the order in writing or commences production.
2.1 By placing an order, the Customer agrees to be bound by these Conditions.
2.2 The Company treats any person placing an order as having authority to bind the Customer.
2.3 The Company reserves the right to refuse any order at its discretion, including where it considers creditworthiness to be at risk.
2.4 Goods are not sold on a “trial basis.” The Customer relies on their own judgement as to suitability.
2.5 Business Customers confirm they do not rely on any representation not expressly set out in these Conditions.
3.1 All Goods are subject to availability.
3.2 Prices may be amended prior to order acceptance.
3.3 In the event of a pricing error, the Customer will be offered the option to reconfirm at the correct price or cancel. If no response is received within 3 working days, the order will be cancelled and refunded.
3.4 Whilst every effort is made to ensure accuracy, the Company reserves the right to correct clerical, typographical or other errors. Liability shall be limited to refund of sums paid.
3.5 All prices will clearly indicate VAT status and are payable in GBP.
4.1 Images and descriptions are illustrative only.
4.2 Due to textile manufacturing processes, exact colour matching between batches or garment types cannot be guaranteed and are beyond our control.
4.3 Minor variations in shade, fabric weight, positioning of print/embroidery (within industry tolerances of ±10mm), and sizing do not constitute defects.
5.1 “Own Goods” are garments or items supplied by the Customer for customisation.
5.2 All work on Own Goods is undertaken entirely at the Customer’s risk.
5.3 The Company shall not be liable for damage occurring during printing or embroidery unless caused by negligence.
5.4 The Company reserves the right to refuse unsuitable garments.
6.1 The Customer warrants they own or have licence to use all artwork provided.
6.2 The Customer indemnifies the Company against all claims arising from intellectual property infringement.
6.3 Where a digital proof is provided, production will not commence until written approval is received.
6.4 Approval of a proof confirms the Customer accepts layout, spelling, sizing, colours and positioning.
6.5 The Company shall not be liable for errors approved in writing by the Customer.
6.6 The Customer grants the Company a non-exclusive right to use images of completed work for marketing unless agreed otherwise in writing.
7.1 Payment is due in full at time of order unless a credit account is agreed in writing.
7.2 Credit accounts must pay within 14 days of invoice.
7.3 The Company may charge interest under the Late Payment of Commercial Debts (Interest) Act 1998.
7.4 An £8.00 administration fee applies to failed payments.
7.5 Production of personalised Goods will not commence until cleared funds are received unless agreed otherwise.
8.1 Delivery dates are estimates only and time is not of the essence.
8.2 Delivery is restricted to Mainland UK.
8.3 Risk passes upon delivery to the Customer or their courier.
8.4 The Company shall not be liable for delivery delays beyond its control.
8.5 Late delivery does not entitle cancellation.
9.1 Risk passes on delivery.
9.2 Title remains with the Company until full payment is received.
9.3 Until title passes, the Customer must:

Consumer Customers (B2C)
10.1 Consumers purchasing at a distance may cancel non-personalised Goods within 14 days under the Consumer Contracts Regulations 2013.
10.2 Personalised or custom-made Goods are exempt from cancellation rights.
10.3 Returned Goods must be unused and in original packaging.
10.4 Consumers are responsible for return costs unless Goods are faulty.
10.5 Refunds will be issued within 14 days of receiving returned Goods.
All Customers (B2C & B2B)
10.6 Personalised Goods cannot be cancelled once production has commenced.
10.7 Non-personalised Goods must be notified for return within 30 days of delivery.
10.8 Goods damaged through misuse, wear and tear, or alteration will not be accepted.
10.9 Mixed orders: only non-personalised items may be returned.
10.10 Faults, shortages or damage must be reported within 48 hours of delivery.
10.11 Business Customer returns are accepted strictly at Company discretion unless faulty.
10.12 Nothing in these Conditions affects Consumer statutory rights.
11.1 Nothing excludes liability for death, personal injury, fraud, or liability that cannot legally be excluded.
11.2 For Business Customers, total liability is limited to the price paid for the Goods.
11.3 The Company shall not be liable for:
The Company shall not be liable for failure or delay caused by events beyond reasonable control including supplier shortages, machinery breakdown, labour disputes, transport disruption or government action.
13.1 The Company processes personal data in accordance with the Data Protection Act 2018 and UK GDPR.
13.2 Data is used solely for fulfilment of Contracts and in accordance with the Privacy Policy.
14.1 No waiver shall arise from delay in enforcing rights.
14.2 If any provision is invalid, remaining provisions remain enforceable.
14.3 These Conditions are governed by the laws of England and Wales.
14.4 The parties submit to the exclusive jurisdiction of the courts of England and Wales.
